Acceptance of Terms

These Terms and Conditions govern your use of Recall Aid, accessible from https://app.recallaid.com, operated by Memory AI LLC, 1521 Locust St, 4th Fl #224, Philadelphia, PA 19102, United States.

By accessing or using Recall Aid, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree with any part of these terms, you must not use the service.

We may update these Terms from time to time. For material changes, we will give you at least 30 days’ notice by email or a prominent in-app notice. Continued use of the service after changes become effective constitutes your acceptance.

Service Availability

By using Recall Aid, you acknowledge and agree to the following:

• The service is provided on an “AS IS” and “AS AVAILABLE” basis. We do not guarantee uninterrupted or error-free operation.
• Features, session limits, and pricing are subject to change. Changes to pricing will be communicated at least 14 days in advance.
• AI-generated content (narratives, images, and voice narration) may vary as we continue to refine our models and prompts. We welcome your feedback to help us improve.
• Data loss, while unlikely, is possible due to service updates, migrations, or unforeseen technical issues. We strongly recommend downloading and backing up your Memoflections regularly.
• By using the service, you grant Memory AI LLC a non-exclusive, royalty-free license to use any feedback, suggestions, or bug reports you provide to improve the service. This does not transfer ownership of your ideas to us.

Self-buyer subscriptions

If you purchase a Recall Aid Standard subscription ($24/mo) for your own use through recallaid.com or app.recallaid.com, the following terms apply:

• Your subscription begins on the date of your first successful charge and renews automatically at the same interval until you cancel.
• You can cancel anytime in your account settings or by emailing support@recallaid.com. Cancellation takes effect at the end of your current billing period and you keep access until then.
• Charges already collected for a completed billing period are not refunded. We do not prorate partial periods. See our Refund Policy for details.
• Pricing for new subscriptions is set at the time of purchase. Existing subscribers will receive at least 30 days’ notice by email before any price change takes effect.

Service Description

Recall Aid is a memory preservation application that helps users record, organize, and share personal memories. The service includes structured memory interviews, AI-assisted narrative generation, AI-generated images, text-to-speech narration, and Memoflection™ creation. A real-time bidirectional AI voice conversation feature (Live Voice) is included on all paid plans.

Features may change over time as we improve and expand the service. We will make reasonable efforts to notify you of significant changes that may affect your use of the platform.

Medical Disclaimer

Recall Aid is NOT a medical device and has not been cleared or approved by the U.S. Food and Drug Administration (FDA). It is designed for memory preservation and storytelling purposes only.

Recall Aid is not intended to diagnose, treat, monitor, or prevent any medical condition, including dementia, Alzheimer’s disease, or any other cognitive impairment. It is not a substitute for clinical memory assessment, neuropsychological evaluation, or any other professional healthcare service.

AI-generated narratives may occasionally contain inaccuracies. Recall Aid sessions are not clinical records and should not be used as such.

Recall Aid is not a crisis service. If you or someone you know is experiencing emotional distress, thoughts of self-harm, or a medical emergency, please call 988 (Suicide and Crisis Lifeline), 911, or your local emergency services immediately. If the process of recalling memories causes you grief or distress, please seek support from a qualified mental health professional.

User Responsibilities

As a user of Recall Aid, you agree to the following responsibilities:

• You must be at least 18 years of age to create an account and use the service independently. Recall Aid is designed for adults 18 and older. If you are setting up an account on behalf of an elderly or dependent adult, see the Caregiver & Authorized Representative section below.
• You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
• All content you create, upload, or share through the service must comply with applicable laws and must not infringe on the rights of others.
• You may not use the service for any commercial purpose without prior written permission from Memory AI LLC.
• You agree not to attempt to reverse-engineer, decompile, or otherwise derive the source code of the application.
• You will not use the service to transmit harmful, threatening, abusive, or otherwise objectionable content.

Caregiver & Authorized Representative

A caregiver, family member, or authorized representative (collectively, “Caregiver”) may set up or manage a Recall Aid account on behalf of an elderly or dependent adult (the “Memory Subject”). By doing so, the Caregiver:

• Confirms they have the legal authority, or the informed consent of the Memory Subject, to create and manage the account on that person’s behalf.
• Agrees to these Terms on behalf of both themselves and the Memory Subject.
• Acknowledges that memories, voice recordings, and Memoflections created under a shared account may be accessible to all account holders.
• Takes responsibility for ensuring the Memory Subject is aware of and comfortable with how their memories will be stored and used.

Memory AI LLC is not responsible for verifying the authority of Caregivers. If a dispute arises regarding account ownership or access rights, please contact us at support@recallaid.com.

Memory Subject Rights

We believe every person whose memories are held in Recall Aid deserves dignity, autonomy, and control, regardless of who set up the account. When an account contains the memories of a person who did not independently create the account (the Memory Subject), that person retains the following rights:

• The right to request access to, correction of, or deletion of their own memories at any time by contacting support@recallaid.com.
• The right not to have their Memoflections published or shared publicly without their explicit consent, to the extent they have capacity to provide that consent.
• The right to have their privacy and personal story treated with respect by all account holders.

Memory AI LLC treats the dignity and autonomy of every Memory Subject as a fundamental value of this service.

Subscription & Billing

Recall Aid offers the following plans. All prices are in US dollars.

Free Plan

$0. Includes one (1) lifetime Memoflection™ session. No credit card required.

Standard Subscription

$24 per month, charged when you subscribe. Includes 16 guided memory conversations per month, narrated Memoflections with AI illustrations, and a downloadable AI Book PDF. Renews automatically each month unless canceled.

IMPORTANT AUTO-RENEWAL DISCLOSURE: Your payment method is charged $24 when you subscribe and $24 on the same day each month after that, until you cancel. To cancel, go to Settings → Subscription. Cancellation takes effect at the end of the month you have already paid for.

Memoflection Session Packs

One-time purchase add-ons that add sessions to your account: 4 sessions for $7.99, or 10 sessions for $17.99. Session Packs are non-refundable and do not expire while your account is active. They are not a subscription and do not auto-renew.

All subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You may cancel at any time through Settings → Subscription, or by contacting us at support@recallaid.com. Cancellation takes effect at the end of your current paid billing period. You retain access until then.

Except as required by applicable law, subscription fees are non-refundable for partial billing periods already charged. Session Packs are non-refundable. Prices may change with at least 30 days’ advance notice; changes take effect at the start of your next billing cycle. Unused sessions do not roll over.

Gift Purchases

A Gift Purchase provides one recipient with twelve months of Recall Aid access at the Premium service level. It is a single payment of $99, charged when you buy. It is not a subscription and does not auto-renew.

Who can buy. Any adult (18 or older) may buy a Gift Purchase for any recipient. The recipient does not need to be present or consulted beforehand.

How redemption works. After purchase, Recall Aid sends the recipient an invitation email on your behalf. The recipient uses it to create their own Recall Aid account; the buyer does not create or control that account. The recipient’s twelve-month access begins when they create their account.

Seeing the recipient’s stories. Buying a gift does not give you access to what the recipient records. When the recipient creates their account, Recall Aid asks them whether the person who set it up may see their stories. Only their yes grants you that access, and they can change that answer at any time in their Settings.

Refund policy. Gift Purchases are not refundable. If you were charged in error, email support@recallaid.com. Before redemption, the buyer may request a change of recipient. Billing-error refunds are processed through Stripe.

What the recipient keeps. At the end of the twelve months, the recipient retains a downloadable AI Book PDF of everything they created. They retain the ability to create new memories only while access remains active.

Another year. Continuing is a new Gift Purchase at the then-current price; nothing is charged unless you choose to buy again.

Unredeemed invitations. Invitation codes do not expire before they are redeemed. The recipient’s access begins when they create their account.

Transfer. Gift Purchases are non-transferable once the recipient has redeemed the invitation. Before redemption, the buyer may request a change of recipient by emailing support@recallaid.com.

Pricing protection. The price paid at purchase covers the full twelve-month period. Subsequent pricing changes do not affect already-purchased gifts.

Recording Consent & Biometric Data

Recall Aid records your voice during memory sessions. By using any voice recording or Live Voice feature, you expressly consent to the recording, processing, and temporary storage of your voice audio for the purpose of generating transcripts and Memoflections.

If you are located in Pennsylvania or another state with two-party or all-party recording consent laws, you acknowledge that all parties present in a recorded conversation must consent to being recorded. Do not record conversations with other people using Recall Aid without their knowledge and consent.

Voice recordings and derived data (including voiceprints) may constitute biometric information under applicable state laws, including the Illinois Biometric Information Privacy Act (BIPA) and similar laws in Texas, Washington, and other states. By using voice features, residents of those states additionally consent to the collection, processing, and storage of their biometric data as described in our Privacy Policy.

• Your voice audio is transmitted to Microsoft Azure OpenAI for transcription and is not retained beyond what is necessary for that processing.
• We do not sell, lease, trade, or profit from your biometric data.
• Biometric data will be permanently destroyed within 7 days of account deletion or upon the conclusion of the processing purpose, whichever comes first.

Intellectual Property

You retain full ownership of your memories, stories, and any personal content you create or upload to Recall Aid. Your memories are yours.

By using the service, you grant Memory AI LLC a limited, non-exclusive license to process, store, and transform your content solely for the purpose of providing and improving the service. This license terminates when you delete your content or your account.

AI-generated images, narratives, and other creative outputs produced by the service based on your memories are generated for your personal, non-commercial use. The Recall Aid application, its design, branding, and underlying technology remain the intellectual property of Memory AI LLC.

Copyright Infringement Claims (DMCA)

Memory AI LLC respects the intellectual property rights of others and asks Recall Aid users to do the same. You may not upload, share, or store any content through Recall Aid that infringes the copyright, trademark, or other intellectual property rights of any third party.

Notice of Claimed Infringement

If you are a copyright owner (or an agent acting on behalf of a copyright owner) and you believe content stored in Recall Aid infringes your copyright, please send a written notice that complies with Section 512(c)(3) of the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent. Your notice must include:

• A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright that is allegedly infringed.
• Identification of the copyrighted work claimed to have been infringed.
• Identification of the material that is claimed to be infringing or to be the subject of infringing activity, with information reasonably sufficient to permit us to locate the material.
• Your contact information, including a mailing address, telephone number, and email address.
• A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
• A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Counter Notification

If you believe that content of yours was removed or disabled in error, you may submit a written counter notification to our designated agent that includes the elements required by Section 512(g)(3) of the DMCA, including your name, address, telephone number, the material that was removed, a statement under penalty of perjury that you have a good faith belief the material was removed by mistake or misidentification, and your consent to the jurisdiction of the U.S. District Court for the Eastern District of Pennsylvania.

Repeat Infringer Policy

Memory AI LLC will, in appropriate circumstances and in its sole discretion, terminate the accounts of users who are determined to be repeat infringers of intellectual property rights.

Misrepresentation

Under Section 512(f) of the DMCA, any person who knowingly materially misrepresents that material is infringing, or that material was removed or disabled by mistake, may be liable for damages. Please do not make false claims.

Third-Party Services & AI Processing

Recall Aid uses Microsoft Azure OpenAI Service to power its core AI features, including memory interview conversations, narrative generation, and Live Voice sessions. Your voice audio and memory content are transmitted to Microsoft Azure OpenAI for processing under Microsoft’s standard Azure OpenAI Service terms. Recall Aid does not have a separate negotiated agreement with Microsoft about model training, and we do not warrant or make any claim about whether Microsoft uses transmitted content for model improvement. Please review Microsoft’s Azure OpenAI Service data and privacy terms for the specifics.

Recall Aid also integrates with other third-party services including PostHog (analytics) and Resend (email). We are not affiliated with and assume no responsibility for the practices of any third-party service providers.

Your use of third-party services is governed by their respective terms and policies. We encourage you to review those policies. Links to third-party sites within the app are provided for convenience and do not constitute an endorsement.

Termination

We reserve the right to suspend or terminate your access to Recall Aid at our sole discretion, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable.

You may terminate your account at any time through the account settings in the application or by contacting us at support@recallaid.com. Upon termination, your right to use the service ceases immediately, and your data will be handled in accordance with our Privacy Policy.

Death and Estate Provisions

In the event of the death of an account holder, we understand that the memories stored in Recall Aid may have profound value to surviving family members. We will make reasonable efforts to accommodate the following:

• Immediate family members or legal representatives may contact us at support@recallaid.com to request access to, export of, or preservation of the account’s Memoflections.
• We may request documentation of legal authority (such as a death certificate, letters testamentary, or power of attorney) before granting access to a deceased person’s account.
• Memories and Memoflections are not automatically deleted upon account inactivity. Accounts with no login activity for 36 consecutive months may be archived or closed, with prior notice sent to the email on file.

We encourage users to document their wishes regarding their Memoflections and account access as part of their personal estate planning.

Limitation of Liability

DURING THE BETA PERIOD, YOU ACKNOWLEDGE THAT THE SERVICE MAY CONTAIN BUGS, ERRORS, OR INCOMPLETE FEATURES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMORY AI LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, DURING THE BETA PERIOD.

We provide Recall Aid as-is and do our best to keep it working well. That said, we cannot guarantee the service will always be available, error-free, or produce perfect results, especially since AI-generated content can sometimes be imperfect or incomplete.

To the extent permitted by law, Memory AI LLC and its officers, directors, employees, and agents are not responsible for indirect, incidental, or consequential losses (for example, lost data or disruption of service) arising from your use of Recall Aid.

Our total liability to you for any claim related to this service will not exceed $100 USD or the total amount you paid us in the 12 months before the claim, whichever is greater. We strongly recommend downloading and keeping backup copies of your important Memoflections.

Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania. If a legal dispute arises between you and Memory AI LLC that we cannot resolve informally, it will be handled in the state or federal courts located in Philadelphia, Pennsylvania, and both parties agree to submit to that jurisdiction.

Disputes Resolution

If you have a concern or dispute, please contact us first at support@recallaid.com. We will make every reasonable effort to resolve it promptly and informally. Most issues can be settled this way.

If we are unable to resolve the matter informally within 30 days, either party may pursue formal resolution through the courts of the Commonwealth of Pennsylvania as described above.

Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will give you at least 30 days’ advance notice by email or by posting a prominent notice within the application before the changes take effect.

Your continued use of Recall Aid after any modifications to the Terms constitutes your acceptance of the revised terms. If you do not agree to the updated terms, you must stop using the service and may request account deletion.
